Summary

When you license a SilkType Font, you are buying a license to use the Font, not ownership of the Font itself.

Different licenses allow different types of use, such as print, web, logos, social media, broadcast, or templates. Most real-world projects use more than one medium, which means multiple licenses are often required.

You may use the Font only in the ways described by the applicable license(s). You may not share, resell, or redistribute the Font files, or allow others to access them.

If you’re unsure which license you need, or if your project changes over time, you can always upgrade or contact us for guidance. This agreement exists to protect both you and the work that goes into making the Fonts.

The legal text below defines these rights and responsibilities in detail.

Important Notice

This End User License Agreement (“Agreement”) is a legally binding contract between the individual or entity accepting this Agreement (“Licensee”) and Studio Rakel Tomas ehf., reg. no. 650418-0770, a limited liability company with its principal place of business at Skólavörðustígur 16, 101 Reykjavik Iceland (“Licensor,” “we,” “us,” or “our”). This Agreement governs the Licensee’s ability to download, install, access or use the Font provided by SilkType.

By clicking “Accept”, selecting an equivalent option, or otherwise indicating acceptance of this Agreement through any electronic or written means provided by the Licensor, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement. If the Licensee does not agree to these terms, the Licensee must not download, install, access or use the Font.

If an individual accepts this Agreement on behalf of a company, organization, or other legal entity, such individual represents and warrants that they have the authority to bind that entity to this Agreement. In such case, the term “Licensee” refers to the entity on whose behalf the Agreement is accepted.

This Agreement becomes effective on the date the Licensee accepts it through the applicable acceptance mechanism (the “Effective Date”).


1. Definitions

For the purposes of this Agreement:

  • Font means the proprietary font, including font software, provided by SilkType, including all associated glyphs, alternates, characters, OpenType features, design variations and other associated files and data provided by the Licensor under this Agreement.
  • Project means a specific work created by or for the Licensee by using the Font.
  • Authorized User means any employee, contractor, agent or other individual authorized by the Licensee to access and use the Font on the Licensee’s behalf, within the scope of the applicable license and subject to the terms of this Agreement. The Licensee remains responsible for each Authorized User’s compliance with this Agreement.
  • Workstation means a single physical or virtual device on which the Font is installed and accessible for use by one or more users.
  • Domain means a single website domain and all associated subdomains controlled by the Licensee.
  • Derivative Work means any modification, adaptation, translation, conversion, alteration or other work based upon the Font software or any portion thereof, including the creation of new font software that incorporates, copies or is substantially similar to the Font. For the avoidance of doubt, Derivative Works do not include documents, artwork, logos, branding materials or other creative works created using the Font in accordance with this Agreement.
  • Embed or Embedded means incorporating the Font into software, applications, websites, digital content or other electronic media for the purpose of rendering text or displaying content, without providing end users or other third parties with independent access to or use of the Font.
  • End User means any third party who views, receives or interacts with a Project, Template, application, website or other output created or distributed by the Licensee using the Font, but who is not granted any license to, or independent access to, the Font itself.
  • Template means a pre-designed, editable file incorporating the Font that is made available to End Users for customization.
  • Webfont means a version of the Font used to render text on websites, web applications, or other browser-based content through internet-based font delivery technologies.

2. License and Ownership

2.1. License

Subject to the terms and conditions of this Agreement, the Licensor hereby grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, access and use the specific licensed Font solely for the Licensee’s own purposes and in accordance with this Agreement and the applicable license.

2.2. Restrictions

The Font is licensed, not sold. The Licensee receives no title to or ownership of the Font or any copies thereof. The Licensor retains all rights title and interest in and to the Font, including all intellectual property rights therein. The Licensee receives no rights to the Font other than those expressly granted in this Agreement. Without limiting the foregoing, and except as expressly permitted under this Agreement, the Licensee shall not:

  1. modify, adapt, translate or create Derivative Works from the Font, except for ordinary permitted use such as creating artwork, converting text to outlines or making typographic adjustments;
  2. sublicense, sell, lease, rent, lend, assign, distribute or otherwise transfer or make the Font available to any third party; or
  3. reverse engineer, decompile, disassemble, or otherwise attempt to derive, discover or access any of the Font’s code, structure or underlying organization of the Font.

3. License Structure

3.1 Usage-Based Licensing

Licenses are usage-based, not ownership-based. Each license grants limited rights for specific uses only. Any use not expressly permitted under the applicable license requires an additional license.

3.2 Multiple Licenses per Project

A single Project may require multiple licenses depending on the scope, medium and distribution of the Project.

3.3 Scope of License

The scope of each license is limited to the specific use, medium, quantity, and conditions described in the applicable license and on the applicable invoice. If the Licensee’s use expands beyond the scope of the granted license, an additional license must be obtained.


4. License Types

Depending on the license obtained, the Licensee may use the Font only for the specific purposes described below and within the scope stated on the applicable invoice. Unless otherwise expressly permitted, each license:

  1. applies only to the Licensee;
  2. is limited to the permitted use category;
  3. does not permit redistribution of the Font; and
  4. is subject to the restrictions and limitations set forth in this Agreement.

4.1 Desktop License

4.1.1 Grant of License

The Desktop License grants the Licensee the right to install and use the Font on the licensed number of Workstations solely for the creation of static, non-interactive designs in accordance with this Agreement.

4.1.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may use the Font to create:

  1. printed materials such as books, magazines, posters, brochures, and similar works;
  2. packaging, labels, and other physical products;
  3. signage and wayfinding systems;
  4. static digital outputs such as PDFs, presentations and rasterized images;
  5. commercial and client work.

4.1.3 Restrictions

The Desktop License does not permit:

  1. use of the Font on websites or web-based platforms;
  2. use of the Font for logos, trademarks, or wordmarks;
  3. use of the Font in social media content intended for publication or distribution on social media platforms;
  4. use of the Font in video, animation, motion graphics, streaming or broadcast media;
  5. use of the Font in templates, applications, software or systems distributed to third parties;
  6. sharing, redistributing, sublicensing or otherwise making the Font available to any third party; or
  7. installation or use beyond the licensed number of Workstations.

4.2 Web License

4.2.1 Grant of License

The Web License grants the Licensee the right to Embed and use the Font on a single Domain using approved Webfont technologies in accordance with this Agreement.

4.2.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may:

  1. use the Font for website content, including headings, body text, and interface elements;
  2. use the Font on commercial and client websites; and
  3. self-host the Webfont files or use an approved third-party hosting solution.

4.2.3 Pageview Limitation

Use of the Font is limited to the maximum number of monthly pageviews under the applicable license. The Licensee is responsible for monitoring pageview usage and obtaining an upgraded license if usage exceeds the licensed limit. For the purposes of this Agreement, a “pageview” means each instance in which a webpage utilizing the Font is loaded by an end user.

4.2.4 Technical Protection Requirements

The Licensee shall implement reasonable technical measures to protect the Font from unauthorized access, copying, or extraction, including industry-standard Webfont protection and access controls where applicable.

4.2.5 Restrictions

The Web License does not permit:

  1. use of the Font in printed materials, packaging, merchandise or editorial publications not displayed on the licensed Domain;
  2. use of the Font in logos, trademarks, service marks or wordmarks;
  3. use of the Font in social media content, broadcast media, templates, or downloadable digital products;
  4. use of the Font in applications, software, games or other standalone digital products;
  5. distribution, sharing, or use of the Font outside the licensed Domain; or
  6. allowing end users access to the Webfont files except as necessary for normal website rendering.

4.3 Logo License

4.3.1. Grant of License

The Logo License grants the Licensee the right to use the Font to create a logo, wordmark, trademark or brand identity for a single brand or legal entity.

4.3.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may:

  1. use the resulting logo, wordmark, trademark or brand identity across all media and formats; and
  2. modify, customize or convert the outlines of the Font solely as necessary for the creation of the licensed logo, wordmark, trademark or brand identity.

4.3.3 Scope Limitation

This Logo license applies solely to the specific logo, wordmark, trademark or brand identity created under the license. Any other use of the Font, including website use, social media content, packaging, advertising, broadcast media, applications or templates, requires the appropriate additional license.

For the avoidance of doubt, ownership of the resulting logo or brand identity remains with the Licensee or its client, however, all intellectual property rights in and to the underlying Font remain with the Licensor.

4.3.4 Restrictions

The Logo License does not permit:

  1. use of the Font for general typesetting, layout, editorial or commercial design purposes;
  2. use of the Font to create logos or brand identities for multiple brands, businesses or legal entities under a single license; or
  3. distribution, sharing, sublicensing, or transfer of the Font to any third party.

4.4 Social Media License

4.4.1 Grant of License

The Social Media License permits use of the Font in content published through social media platforms. The Licensee is responsible for selecting the appropriate license tier based on reasonably accurate information available at the time the applicable license is obtained. If the Licensee’s actual usage materially exceeds the licensed tier, the Licensee must obtain an upgraded license.

4.4.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may use the Font in social media content, including but not limited to:

  1. organic posts;
  2. paid advertisements and sponsored content;
  3. stories, reels, shorts, thumbnails, and similar platform-native formats; and
  4. video and motion content distributed exclusively through social media platforms.

4.4.3 Restrictions

This license does not permit:

  1. use of the Font for print, packaging, website, logo, broadcast, application, software or template purposes;
  2. distribution, sharing, sublicensing or transfer of the Font files to any third party; or
  3. use of the Font outside social media platforms except as expressly permitted under this Agreement.

4.4.4 Clarification of Social Media Advertising

For the purposes of this Agreement, “social media use” includes both organic and paid content distributed within social media platforms, including but not limited to Meta (Facebook, Instagram), TikTok, LinkedIn, YouTube and similar services.

Use of the Font in video or motion content published and promoted exclusively through social media platforms constitutes permitted Social Media License use, regardless of campaign size or advertising spend.

4.4.5 Follower-Based Licensing

Social Media Licenses are priced based on the number of followers, subscribers or equivalent audience metrics associated with the social media account(s) on which the Font is used.

The applicable follower tier is determined at the license is obtained and is reflected on the applicable invoice. Temporary increases in reach due to paid promotion do not alone require a license upgrade, provided the content is distributed exclusively through social media platforms.

4.5 Broadcast License

4.5.1 Grant of License

The Broadcast License permits the Licensee to use the Font in broadcast, streaming, cinematic and large-scale video media.

The Licensee is responsible for selecting the appropriate license tier based on reasonably accurate information available at the time the applicable license is obtained. If the Licensee’s actual usage materially exceeds the licensed tier, the Licensee must obtain an upgraded license.

4.5.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may use the Font in:

  1. television programming and advertising;
  2. streaming platform content and advertising;
  3. cinema advertising and theatrical productions;
  4. motion graphics, trailers and commercial video productions, and
  5. large-scale digital video campaigns distributed outside social media platforms.

4.5.3 Restrictions

This license does not permit:

  1. use of the Font for print, packaging, editorial, website, logo, social media-exclusive, application, software, or template purposes;
  2. Embedding of the Font, distribution, sharing, sublicensing or transfer of the Font to any third party; or
  3. use of the Font in downloadable products or standalone digital assets.

4.5.4 Clarification of Broadcast Use

For the purposes of this Agreement “Broadcast Use” means use of the Font in video or motion content distributed through television, streaming services, cinema, digital advertising networks, or similar distribution channels outside social media platforms.

Use of the Font in broadcast advertising, streaming commercials, cinema advertising, connected television (CTV), video-on-demand services, or similar large-scale distribution channels requires a Broadcast License, even if the same content is also published on social media platforms. Content distributed exclusively through social media platforms remains subject to the Social Media License.

4.5.5 Campaign Reach-Based Licensing

Broadcast Licenses are priced based on the estimated campaign reach, as determined by the distribution method, platform, or media plan.

The applicable reach tier is selected at the time the license is obtained and is reflected on the invoice. If a campaign is distributed across multiple channels, platforms, territories, or distribution methods, the total combined estimated reach shall be used in determining the appropriate license tier.

4.6 Template License

4.6.1 Grant of License

The Template License grants the Licensee a non-exclusive, non-transferable, non-sublicensable right to use the Font in templates, themes, design systems, or similar products distributed or made available to multiple end users.

The Licensee may distribute templates commercially, provided that the Font is used solely in accordance with this Agreement and all technical protection requirements are satisfied.

4.6.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may use the Font in:

  1. website templates and themes;
  2. social media templates;
  3. presentation templates; and
  4. platform-based templates where end users may customize text content without obtaining direct access to the Font files.

4.6.3 Technical Protection Requirements

The Licensee must ensure that all templates are technically configured to prevent extraction or unauthorized access to the Font by end users. In particular, the Licensee shall ensure that:

Font Extraction is Technically Prevented

Each template must be delivered in a format or through a platform in which end users cannot extract, copy, download, export, or otherwise access the Font files. The Licensee shall implement all reasonably available technical measures to prevent extraction, including locking, encryption, obfuscation, or platform-enforced access controls where applicable.

Font Files Are Not Included or Accessible

Font files must not be included in, attached to, bundled with, or otherwise made accessible through any template delivered to end users. Typography displayed within a template must be rendered through the platform, application, or service through which the template is distributed and must not require the end user to possess, install, or access the underlying Font files.

Text Editing Must Remain Platform-Constrained

Where a template permits end users to edit text content, such editing functionality must operate solely within the platform, application, or service through which the template is distributed. End users must not, through any editing functionality, be able to access, extract, export, install, or otherwise obtain the underlying Font files.

4.6.4. Restrictions

The Template License does not permit:

  1. distribution of the Font as a standalone product;
  2. allowing end users direct access to the Font files;
  3. use of the Font in downloadable editable source files where the Font can be extracted;
  4. sublicensing or transferring the Font independently of the licensed template product; or
  5. use of the Font outside the licensed template environment except as expressly permitted under this Agreement.

4.7. Application License

4.7.1 Grant of License

The Application License grants the Licensee a non-exclusive, non-transferable, non-sublicensable right to Embed the Font within mobile applications, desktop software applications or similar digital software products developed or distributed by the Licensee. The Font may be included within the compiled application solely for the purpose of rendering text within the application interface or content.

4.7.2 Permitted Uses

Subject to the scope of the applicable license, the Licensee may:

  1. Embed the Font within mobile, desktop, or web-based applications;
  2. use the Font for user interfaces, navigation, menus, dashboards, and in-application content; and
  3. distribute the application commercially or non-commercially, provided the Font remains Embedded and protected in accordance with this Agreement.

4.7.3 Technical Protection Requirements

The Licensee must ensure that the Font is Embedded and secured in a manner that prevents end users or third parties from accessing, extracting, copying, exporting, or otherwise using the Font outside the application environment. The Licensee shall implement all reasonably available technical measures to protect the Font, including compilation, encryption, subsetting, or platform-level access restrictions where applicable. The Font may not:

  1. be distributed as a standalone file;
  2. be made accessible for installation or independent use outside the application;
  3. permit direct end-user access to the Font files; or
  4. be used in a manner that enables extraction or reuse of the Font outside the licensed application.

4.7.4 Technical Protection Requirements

The Application License does not permit:

  1. distribution of the Font independently of the licensed application;
  2. use of the Font in templates, design tools, or systems that allow third parties to create or export content using the Font, except as expressly permitted under a separate license;
  3. use of the Font in editable products where end users may access or obtain the Font files; or
  4. sublicensing, sharing, or transferring the Font to third parties except as Embedded within the licensed application.

4.8 Trial Fonts

4.8.1 Grant of License

Trial Fonts are provided solely for evaluation and testing purposes. The Trial Font license grants the Licensee a non-exclusive, non-transferable, non-sublicensable right to install and use the Trial Font to evaluate its design, features and suitability before purchasing an applicable paid license.

4.8.2 Permitted Uses

The Licensee may use Trial Fonts to:

  1. test and evaluate the Font within design software and other compatible applications;
  2. create internal mock-ups, layouts, concepts and design explorations;
  3. test the Font in unpublished website designs, prototypes and other non-public environments; and
  4. create concepts or presentations for internal review or client approval, provided that such materials are not publicly distributed, published or used commercially.

4.8.3 Restrictions

Trial Fonts may not be used:

  1. in any final, published or publicly distributed work;
  2. in commercial products, advertising, campaigns or other commercial materials;
  3. in final work delivered to a client or other third party;
  4. on a live website, social media account, application, broadcast, template or other publicly accessible platform;
  5. in a final logo, trademark, wordmark or brand identity;
  6. in any product or material offered for sale or distribution;
  7. in any manner that allows another person to access, extract, install or use the Trial Font; or
  8. as a substitute for an applicable paid license.

Before any work created using a Trial Font is published, distributed, commercially used or otherwise put into production, the appropriate paid license must be obtained.


5. Artificial Intelligence and Machine Learning Restrictions

Unless expressly authorized in writing by the Licensor, the Licensee shall not use the Font, or any glyphs, characters, outlines, metadata, or other components thereof:

  1. to train, fine-tune, develop, or improve any machine learning, artificial intelligence, generative AI, or similar systems;
  2. as input for any dataset used in connection with machine learning or artificial intelligence technologies; or
  3. to generate derivative font systems, typefaces, handwriting models, or typographic synthesis systems.

This restriction applies whether such use is direct or indirect and regardless of whether the resulting system reproduces or imitates the Font.


6. Intellectual Property

6.1 Intellectual Property Rights

The Licensor retains all right, title and interest in and to the Font and all copies of the Font, including all materials used to create, develop and operate it, including, without limitation, all software (including source code and object code), graphics, user interfaces, documentation as well as any trademarks used in or in connection with the Font. Nothing in this Agreement grants the Licensee any ownership or any proprietary rights in or to the Font or any of its components, whether by implication or otherwise, except as expressly stated in this Agreement. Without limiting the foregoing, this Agreement does not transfer or grant to the Licensee any rights under or in any patents, copyrights, database rights, trade secrets, trade names, trademarks (whether registered or unregistered), or any other intellectual property rights relating to the Font.


7. Payment Terms

7.1 Fees

The Licensee shall pay all applicable license fees and any other charges associated with the use of the Font in accordance with the pricing and payment terms in effect at the time the license is granted. All fees are non-refundable except as expressly required by applicable law.

7.2 Taxes

All fees are exclusive of any applicable taxes, duties, levies, or governmental charges, including value-added tax (VAT), sales tax, or withholding tax. The Licensee is solely responsible for payment of all such taxes and charges, excluding taxes based solely on the Licensor’s net income.

7.3 Payment Due

Unless otherwise agreed in writing, all payments are due in full prior to the grant of the applicable license.

If any payment is overdue, declined or otherwise not received by the Licensor, the Licensor may suspend delivery of the Font or exercise any other rights or remedies available under this Agreement or applicable law.

7.4 License Activation

Rights granted under this Agreement become effective only upon full payment of all applicable fees. No license rights shall arise until the applicable license fees have been paid in full.

7.5 Perpetual Licenses

Unless otherwise expressly agreed in writing, each license granted under this Agreement is perpetual and does not require renewal. The license remains valid indefinitely, provided that the Licensee remains in compliance with this Agreement and the use of the Font remains within the scope of the applicable license.

7.6 Unauthorized Use

If the Licensee uses the Font beyond the scope of the applicable license, the Licensor may require the Licensee to obtain the appropriate additional or upgraded license and to pay any applicable additional license fees.

The above does not limit the Licensor’s right to pursue any other remedies available under this Agreement or applicable law.


8. Publicity

The Licensor may identify the Licensee as a user of the Font and may reference the Licensee’s use of the Font in the Licensor’s marketing materials, including the Licensor’s website, social media, presentations and promotional materials. Any such reference shall be limited to factual statements regarding the Licensee’s use of the Font and may include the Licensee’s name, logo and examples of publicly available materials in which the Font is used.


9. Warranties and Disclaimers

Each Party represents that it has authority to enter into this Agreement.

The Licensor represents and warrants that he is the owner of the Font and of each and every component thereof.

Except as expressly stated in this agreement, the font is provided “as is” and “as available”, without any representations or warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.


10. Term and Termination

10.1 Term

This Agreement shall commence on the Effective Date and shall continue unless terminated pursuant to this Section 10.

Each license granted under this Agreement is perpetual and shall continue indefinitely unless terminated pursuant to this Section 10.

10.2 Continued Validity of Perpetual License

Subject to continued compliance with this Agreement, the applicable license shall remain valid indefinitely and the Licensee may continue to use the Font within the scope of the license originally obtained.

Projects lawfully created under the applicable license may continue to be used, distributed, displayed and otherwise exploited for as long as the applicable license remains valid.

If the Licensee’s use expands beyond the scope of the applicable license, the Licensee shall not:

  1. create new Projects using the Font;
  2. modify, update, or republish Projects where such activity requires further use of the Font; or
  3. continue any licensed use that exceeds the scope of the expired license.

Upon the Licensor’s reasonable request, the Licensee shall provide written certification confirming compliance with this Section.

10.3 Termination for Cause

Either party may terminate this Agreement for the other’s material breach by written notice specifying in detail the nature of the breach, effective in 30 days unless the other party first cures such breach, or effective immediately if the breach is not subject to cure.

10.4 Effect of Termination for Cause

Upon termination of this Agreement pursuant to Section 10.3:

  1. all licenses granted under this Agreement shall immediately terminate;
  2. Licensee shall immediately cease all use of the Font and shall promptly uninstall and delete all copies of the Font in its possession or control;
  3. the Licensee shall provide written certification of such deletion to the Licensor within ten (10) days of termination; and
  4. all outstanding payment obligations shall become immediately due and payable.

10.5 Survival

Sections 1 (Definitions), 2.2 (Restrictions), 6 (Intellectual Property), 9 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification) and 13 (General Provisions) and any provision which by its nature is intended to survive, shall survive any termination of this Agreement.


11. Limitation of Liability

In no event shall either Party be liable to the other for any indirect, incidental, special, consequential, punitive or exemplary damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or related to this Agreement or the use of the Font.

To the maximum extent permitted by applicable law, the Licensor’s total aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Licensee to Licensor for the applicable specific license.

Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.


12. Indemnification

12.1 Licensee Indemnification

Licensee shall indemnify, defend, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Licensee’s or any Authorized User’s use of the Font; (b) the Licensee’s breach of this Agreement; or (c) any content, materials, products or services created, distributed, or made available by the Licensee using the Font.

12.2 Indemnification Procedure

The Licensor shall promptly notify the Licensee in writing of any claim for which indemnification is sought. The Licensee shall assume control of the defence and settlement of such claim, provided that the Licensor may participate in the defence with counsel of its choosing at its own expense. The Licensee shall not settle any claim in a manner that admits liability on the part of the Licensor or imposes any obligation on the Licensor without the Licensor’s prior written consent.


13. General Provisions

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Iceland. In the event of a dispute arising from this Agreement, the parties shall make every effort to resolve the matter through an out-of-court settlement. If a resolution cannot be reached, the dispute shall be referred to the District Court of Reykjavík.

13.2 Entire Agreement

This Agreement, together with all Annexes attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the Parties.

13.3 Amendments

Licensor may amend this Agreement from time to time by providing the Licensee with a written notice of the amendment.

Any amendment shall apply only to licenses granted after the effective date of the amendment, unless the Licensee expressly agrees otherwise.

Licenses granted prior to the effective date of an amendment shall continue to be governed by the version of this Agreement in effect on the date the license was granted.

13.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.
